The first is operational: bank mandates, payroll sign-offs, audit queries and investor reporting all carry the CFO’s name. The second is statutory: a vacancy in a mandatory CFO office has an appointment deadline under the Companies Act, 2013 and, for listed companies, under the SEBI Listing Regulations. Appointing an interim CFO after CFO resignation is the bridge between the two. This guide covers the handover, the interim cover options and the permanent hire, in the order they need to happen. ### How long can a company stay without a CFO after the CFO resigns in India? Listed companies must fill a CFO vacancy within three months, or six months where regulatory approval is needed (Regulation 26A(2), SEBI LODR). Unlisted public companies with paid-up capital of ₹10 crore or more get six months (Section 203(4), Companies Act, 2013). Private companies have no statutory CFO requirement, though investor and lender agreements often set their own deadline. ## What should a company do in the first 48 hours after a CFO resigns? Secure authority before anything else. Confirm the resignation in writing, keep the CFO in role through the notice period unless trust is the issue, put dual approval on every payment channel, and name one person to run finance day to day. Tell the board, the lead investor and the statutory auditor inside 48 hours. In an orderly exit, the first 48 hours are about structure, not lock-down. Where the exit is immediate, disputed or involves a suspected irregularity, withdraw access the same day and let the board decide whether an independent review of the books is needed before anyone new signs. ### What should happen in the first four hours? The first four hours are triage, not action. The founder and the board chair should do four things and nothing else: - Establish the facts: is the exit amicable, performance related or compliance related, and when does it take effect? The answer drives the messaging, the access plan and any independent review. - Pin the effective date in writing, because the statutory vacancy and disclosure clocks run from it. - List what is in flight: an audit sign-off, a lender certificate, a diligence request, a GST or TDS return, a board meeting. - Choose the interim route (compared below) and name one person to own day-to-day finance. Avoid posting about the exit publicly, emailing the investor list, dismissing finance staff in reaction, and absorbing the role yourself as a non-finance founder. If the exit looks compliance related, preserve email and system data, brief the audit committee chair and take legal advice first. For a listed company, fraud or default by a KMP can itself be disclosable (Para A, item 6 of Part A of Schedule III, SEBI LODR). The access and authority checklist for the first two days: - Bank mandates: pass a board resolution to add and remove signatories, remove the CFO from maker and checker roles in net banking, review standing instructions, and set dual approval above a stated limit. - Statutory and portal access: update the authorised signatory on the GST registration (amendment of registration under Section 28 of the CGST Act, 2017 and Rule 19 of the CGST Rules, 2017), reassign income tax, EPFO, ESIC and MCA user mappings, and revoke or replace any Class 3 digital signature certificate (DSC) held in the CFO’s name for company filings. - Systems: accounting software, ERP, payroll, expense tools, payment gateways and data room admin rights moved to a named owner. - Delegation of authority: reissue the payment approval matrix so that no approval depends on a single person who is leaving. - In-flight commitments: list unsigned management representation letters, lender certificates, audit queries and [term sheet](https://treelife.in/legal/term-sheets-in-india/) diligence requests that carry the CFO’s name. ### What does the three-day cash and exposure audit cover? Once access is secured, establish cash and exposure inside three days. Outgoing CFOs often carry short-term gaps in their heads, and the usual surprise is that runway is shorter than anyone believed. - Cash: every bank balance including foreign currency and EEFC accounts, fixed deposits under lien and any escrow. - Payables: vendor dues by due date, plus statutory dues for GST, TDS, provident fund, ESIC and advance tax. - Receivables: ageing by customer, disputed invoices and expected collections. - Commitments: open purchase orders, capex approvals, the payroll calendar and cash outflows tied to ESOP exercises or bonuses. - Debt: loan and cash credit balances, drawing power, covenant headroom and the date of the next compliance certificate. - Forecast: a 13-week cash forecast with a worst case in which there are no new sales, collections slow down and every payable is paid on time. ### Who must be told, and in what order? Tell the board and the audit committee chair first, then the lead investor, lenders, the statutory auditor and the finance team. Each has a contractual or statutory reason to hear it from the company. - Investors: check the [shareholders’ agreement](https://treelife.in/legal/do-you-need-an-agreement-with-your-shareholders/) (SHA) for information rights, key person clauses and affirmative matters covering the appointment or removal of key managerial personnel (KMP). - Lenders: check sanction letters for change in management covenants and notice periods. - Statutory auditor: the auditor relies on written representations from management under Standard on Auditing (SA) 580, and needs to know who will sign them now. - Listed companies: stock exchange disclosure runs on the clock set out in Regulation 30 of the SEBI LODR, covered below. ### What should the company say to the team, investors, lenders and vendors? Say it early, calmly and identically to everyone. Within 48 hours, hold three sets of conversations in this order. - Board and lead investor (personal call): “Our CFO has resigned and leaves on [date]. [Name] runs finance in the interim from [date], the board has approved the appointment, and the permanent search starts this week. The audit, the lender reporting and the next board pack stay on their current dates.” - Lenders and key vendors (call from the CEO or the interim): “We have a change in finance leadership. [Name] is your contact from [date]. Payments and reporting continue on schedule.” - Finance team (all-hands within 24 hours): who covers, what does not change in approvals, and where questions go. Hold public announcements until the interim is formally appointed and the search is staffed, and do not explain the exit to anyone outside the board. For a listed company, the stock exchange filing is the only external channel. A change in KMP other than on superannuation or end of term is unpublished price sensitive information under Regulation 2(1)(n)(v) of the SEBI (Prohibition of Insider Trading) Regulations, 2015 (as amended from 09/06/2025), so close the trading window for designated persons and log everyone who holds the news in the structured digital database until the filing is made. ## Does a company have to replace its CFO, and by when? Only some companies must have a CFO. Listed companies and public companies with paid-up share capital of ₹10 crore or more must have a whole-time CFO (Section 203(1), read with Rule 8 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014). If that office falls vacant, the board must fill it within six months under Section 203(4); listed companies get three months under Regulation 26A(2) of the SEBI LODR. **Statutory position on a CFO vacancy, by company type** Company typeIs a CFO mandatory?Time to fill the vacancyFiling or disclosureListed companyYes (Section 203(1), Rule 8)3 months, or 6 months if regulatory approval is needed (Regulation 26A(2))Stock exchange disclosure under Regulation 30; resignation disclosed within 24 hours of the last date and the letter with reasons within 7 days of it (Para A, item 7C, Part A of Schedule III); DIR-12 within 30 daysUnlisted public company, paid-up capital ₹10 crore or moreYes (Rule 8)6 months (Section 203(4))DIR-12 within 30 days (Section 170(2), Rule 18)Unlisted public company, paid-up capital below ₹10 croreNo statutory requirementNo statutory deadlineDIR-12 for cessation if a CFO was appointedPrivate companyNo statutory requirementNo statutory deadline; check SHA and lender covenantsDIR-12 for cessation if a CFO was appointed Source: Section 203, Companies Act, 2013; Rule 8 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014; Regulation 26A, SEBI LODR. Paid-up capital, not authorised capital, is the test. The deadline runs from the date of vacancy, which is the date the CFO’s office is vacated, that is, the last date in office. A notice period therefore does not use up the statutory window. A missed deadline is expensive. Section 203(5) provides for a penalty on the company of ₹5 lakh and on each director and KMP in default of ₹50,000, with a further ₹1,000 a day while the default continues, capped at ₹5 lakh. Registrars adjudicate these under Section 454; in an order dated 09/07/2026, the Registrar of Companies, Mumbai I penalised a company and its officers for a 303-day delay in filling a company secretary vacancy. ### Is any change to the CFO resignation rules pending? Yes. The Corporate Laws (Amendment) Bill, 2026 (Bill No. 85 of 2026) was introduced on 23/03/2026, and a Joint Parliamentary Committee presented its report on 03/08/2026 (PRS Legislative Research). It proposes a new Section 203A under which a whole-time KMP who is not a director, such as a CFO, resigns by written notice, the Board takes note and the company intimates the Registrar, with the KMP staying liable for defaults during the tenure. As of 16/10/2026 it has not been passed or notified, so Section 203 as described here governs, and the final text may differ. We found no 2026 amendment to Regulation 26A(2) or Regulation 30(6); the SEBI LODR (Amendment) Regulations, 2026 dated 20/01/2026 dealt mainly with high value debt listed entities and investor services. ### What does “interim” mean in law for a listed company? The interim CFO must be appointed exactly as a permanent CFO would be. The proviso to Regulation 26A(2) bars a listed entity from filling a CFO vacancy with an interim appointee unless the appointment follows the laws that apply to a fresh appointment. An informal “acting CFO” does not meet that test. In practice, that means a [board resolution](https://treelife.in/compliance/board-resolution-formats-for-company/) (Section 179(3), read with Rule 8 of the Companies (Meetings of Board and its Powers) Rules, 2014), the recommendation of the Nomination and Remuneration Committee where one is constituted under Section 178, an appointment letter, an entry in the register of directors and KMP, and Form DIR-12 within 30 days. A public company also files the board resolution in Form MGT-14 under Section 117(3)(g); private companies are exempt under MCA notification G.S.R. 464(E) dated 05/06/2015. Listed companies disclose the appointment to the stock exchanges within 30 minutes of the board meeting concluding (Regulation 30(6)). ### How fast must a listed company disclose a CFO resignation? Under Regulation 30(6), a board meeting’s decisions are disclosed within 30 minutes of its close, events originating inside the company within 12 hours and others within 24 hours. For a resignation, SEBI’s Industry Standards Note on Regulation 30 (circular SEBI/HO/CFD/CFD-PoD-2/P/CIR/2025/25 dated 25/02/2025) treats it as taking effect on the person’s last date. Disclosure is due within 24 hours of that date, and the letter with detailed reasons within seven days of it (Para A, item 7C, Part A of Schedule III). The note’s example: a last date of 28/02/2024 means disclosure by 29/02/2024 and the letter by 06/03/2024. Companies may disclose earlier, and many do. The format sits in SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 (updated to 30/01/2026). ### Who signs the financial statements if the CFO leaves? The Board approves the financial statements, and the chairperson or two directors sign them on its behalf, along with the CFO and company secretary “wherever they are appointed” (Section 134(1), Companies Act, 2013). If the CFO office is vacant on the signing date, the replacement must be validly appointed by board resolution before that board meeting. For listed companies, the CEO and CFO also give the compliance certificate under Regulation 17(8) read with Part B of Schedule II. ## CFO handover checklist: what the notice period must produce The notice period should produce a handover pack, not a farewell. A good pack records judgement calls, open exposures and relationships, because the interim can reconstruct files but not why a position was taken. Hold two sessions a week with the outgoing CFO and have the interim sign off the pack as complete. The handover pack, in order of priority: - Close calendar: who prepares, reviews and approves each month-end step, with the day each is due. - Judgement register: positions on revenue recognition, capitalisation, provisions, ESOP charge and related party transactions, each with the reasoning and any auditor discussion. - Tax file: open assessments and notices, GST reconciliations, TDS status, transfer pricing documentation and positions taken with the department. Salary TDS now sits under Section 392 of the Income-tax Act, 2025 (effective 01/04/2026), so check the payroll configuration has moved across. - Treasury: 13-week cash forecast, bank limits and covenants, compliance certificates due to lenders, foreign exchange exposure and pending FEMA filings. - Audit file: open audit points, management letter responses, internal audit findings and the auditor’s contact at partner level. - Reporting: board deck and MIS pack templates, the investor reporting calendar, the data room index and the cap table. Treelife’s guide to [MIS reports for startups](https://treelife.in/finance/mis-reports-for-startups/) sets out what a clean pack contains. - Compliance calendar and statutory registers: due dates by authority, with owner names. Treelife publishes a monthly compliance calendar. - Commitments register: guarantees, indemnities, comfort letters, vendor terms, side letters and live disputes. - People: finance team roles, retention risks, and who has been promised what. ### What did the outgoing CFO know that nobody else knows? This question decides whether the handover works. Interview the five people who worked closest with the CFO, and ask the CFO to review the draft before leaving. The interim owns the resulting risk register from day seven, triaged by financial impact. The items that most often surface: - Verbal terms with vendors or customers that are not in writing. - Covenant flexibility granted informally by a lender’s relationship manager. - Tax positions taken without a memo: transfer pricing, GST input tax credit reversals, short deduction of TDS. - Pending audit adjustments and provisions not yet booked. - Related party transactions and the approvals behind them (Section 188, Companies Act, 2013). - FEMA and RBI filings pending or half prepared. - Contracts that auto-renew in the next 60 days. - Promises to team members on pay, promotions or ESOP grants, and investor side letters. > Planning your CFO handover pack and DIR-12 filing? [Let’s talk](https://treelife.in/services/virtual-cfo/) Three exit terms deserve attention while the CFO is still in the building. First, ESOPs: the plan rules and the grant letter decide the exercise window after resignation, and the tax arises at exercise (see Treelife’s note on ESOP exercise after resignation). Second, final settlement and the return of company property, including devices and DSC tokens. Third, restrictive covenants: post-employment [non-compete clauses](https://treelife.in/legal/enforceability-of-non-compete-clauses-in-india/) are generally unenforceable under Section 27 of the Indian Contract Act, 1872, so rely on confidentiality, return-of-property and non-solicit terms drafted for the notice period. ## Interim CFO after CFO resignation: interim, fractional or promoted controller? Pick the cover by what the next four to six months will demand. An interim CFO works at near full-time intensity and suits a company mid-audit, mid-fundraise or mid-restatement. A fractional or virtual CFO suits a company whose finance function is sound and whose gap is leadership time. A promoted controller works only when the controller can already own the board relationship and the numbers. **Interim cover options compared** OptionBest whenFit for a statutory CFO officeMain riskInterim CFO (full-time intensity, fixed term)Audit, fundraise or diligence is live and the team is thinYes, if appointed by board resolution and not holding KMP office elsewhereLearning curve; the cost of a senior hire for a short termFractional or virtual CFO (part-time, shared across clients; see [Treelife virtual CFO services](https://treelife.in/services/virtual-cfo/))Books and team are sound and the gap is strategy, MIS and investor reportingLimited. For definitions of the engagement models, see Treelife’s guide to [fractional CFO services in India](https://treelife.in/finance/fractional-cfo-services-in-india/) and virtual CFO vs full-time CFO. ### How should you source and vet an interim CFO? Choose a route first: a firm that supplies a senior lead plus a team, an individual from your investor or advisor network, or a recruiter-placed contractor. Ask every provider for a written start date and for any recruiter margin built into the rate. Then vet with questions that surface judgement, not credentials: - Which CFO vacancies have you covered, and what did you hand over at the end? - What do you ask for in week one, and what will you refuse to sign until you have seen it? - How do you handle a statutory auditor query on a position you did not take? - Have you signed management representation letters or lender certificates as an interim, and what diligence did you do first? - Do you hold, or expect to hold, KMP office elsewhere during the term? - What would make you tell the board the numbers cannot yet be certified? Agree a short initial term with a review at 30 days and an extension option. If the interim might be a candidate for the permanent role, say so in the engagement letter and keep them off the search panel. ### Can a fractional or virtual CFO act as the statutory CFO? Only where the company has no mandatory CFO, or the person holds no KMP office in another unrelated company. Section 203(3) bars a whole-time KMP from holding office in more than one company at the same time, except a subsidiary, and a person appointed to two unrelated mandatory companies has six months to choose one. For a private company with no mandatory CFO, the bar does not bite. For a company that must have a CFO, use a dedicated interim, with a virtual CFO team supporting MIS, compliance and diligence work behind that person. ### What should an interim CFO engagement letter say? It should fix five things in writing: scope and reporting line, authority limits, KMP designation, term with an extension option, and the hand-over duty to the permanent CFO. Beyond those: - Authority limits: the payment and contract values the interim can approve alone. - Conflicts: no KMP office elsewhere, and other client engagements disclosed. - Insurance: confirm the [directors and officers liability policy](https://treelife.in/legal/directors-and-officers-liability-insurance/) covers the interim as an officer from the start date. - Access: data room, bank portals and cap table on a named-person basis. - Hand-off: an overlap of two to four weeks with the permanent CFO, longer for a complex company. ## The first 90 days: what the interim CFO should deliver The interim CFO’s job is to protect the close, the cash and the credibility of the numbers while the search runs: a risk register inside a week, a clean first close inside a month and a handover-ready function by day 90. The first 30 days are for stabilising, not redesigning, so do not restructure the finance function in week one or promote internally before the books have been reviewed. The interim performs best when the company is ready on day one. The day one pack: - Management accounts, audited statements and the last four quarters of board and investor decks. - The 13-week cash forecast, the covenant calendar and the next three lender certificates due. - The handover pack, the risk register and the delegation of authority. - Auditor, tax advisor, banker and counsel contacts, with introductions booked in week one. - The cap table and a summary of finance related rights in the SHA. - Decision rights in writing, a weekly meeting with the CEO and a fortnightly check-in with the board chair. **Interim CFO 90-day plan** WindowPriorityOutputDays 1 to 7Control and riskBank and signatory review closed out; risk register covering tax, audit, lender and investor exposures; 13-week cash forecastDays 8 to 30Stabilise the closeFirst month-end close under the interim; auditor and lender introductions done; board and investor update on the transition; a clean board pack delivered and the permanent search active by day 30Days 31 to 60Fix and documentJudgement register updated; open audit points closed or scheduled; MIS pack reviewed against investor reporting requirementsDays 61 to 90Prepare the handoverScorecard input to the permanent search; process documentation complete; overlap plan agreed with the incoming CFO Internal financial controls need attention in the first month, because access changes and a departed approver can break segregation of duties. The statutory auditor reports on their adequacy (Section 143(3)(i), Companies Act, 2013); for a listed company, the directors’ responsibility statement covers them (Section 134(5)(e)) and the CEO and CFO certify them under Regulation 17(8). The interim should name an owner for each key control by day 30 and tell the auditor who now signs the management representations. By day 14, the cadence should be reset: the interim runs the weekly finance leadership meeting, the board pack timeline is confirmed with the chair, finance team one-to-ones are running, open finance hires are triaged and the cash forecast is reviewed weekly until stable. Where the company wants a team behind the interim, Treelife’s virtual CFO team can run MIS, compliance and audit coordination alongside the appointed interim. If a fundraise or exit is within 12 months, ask the interim to run a mock diligence pass in days 31 to 60 using Treelife’s [financial due diligence checklist for startups](https://treelife.in/finance/financial-due-diligence-checklist-for-startups/); a CFO transition is exactly when a data room goes stale. For Series A readiness, see how a virtual CFO gets your startup Series A ready. For loosely tracked books, treat books reconstruction before statutory audit as a day 8 to 30 task. ## How to hire a permanent CFO after the interim steps in Run the search from day one of the interim, not after it: write the scorecard for the next 24 months, choose one search route, put the board and lead investor on the panel, and complete the KMP formalities before the new CFO’s first board meeting. The sequence that holds up: - Scorecard: define what the CFO must deliver in the next 24 months (a Series C close, an IPO readiness programme, a debt raise, an ERP migration). A pre-IPO CFO and a growth-stage CFO are different hires. - Search route: retained search firm, investor network referrals, a promoted internal candidate, or a virtual CFO who converts to full-time. Choose one lead route and one backup. - Panel: board member, lead investor nominee and CEO, each scoring against the scorecard. - Case exercise: a live problem from your own books, such as a revenue recognition question or a covenant breach scenario. - References and records: speak to a former CEO and a former auditor, and check the candidate’s earlier KMP cessation dates on the MCA master data. - Offer terms: notice period, [ESOP grant and vesting](https://treelife.in/legal/esop-vesting-schedule-for-startups/), clawback for restatements, and KMP designation. - Appointment: board resolution, appointment letter, register entry and DIR-12 within 30 days; for listed companies, stock exchange disclosure within 30 minutes of the board meeting. Timing is the weak spot. Plan for a search of several months from brief to offer, plus the candidate’s notice period, which for senior roles can run to two or three months. For a listed company that does not fit inside the three-month Regulation 26A limit unless the search starts before the old CFO’s last day. Also check that the candidate holds no KMP office in another unrelated company, because Section 203(3) would force that choice before the appointment can stand. Three habits help. Start the search in week one, with the interim co-leading it. Do not rush to fill the seat just because an interim is covering. And keep the interim on for a short overlap, so the new CFO can question someone who ran the function. #### Hiring a permanent CFO while an interim covers?  [Let’s Talk](javascript:void(0)) [ ](https://calendly.com/consulttreelife/20min?utm_source=blogbannertreelife) ## Common mistakes that cost time and money Most CFO transition failures are control and timing failures, not talent failures. The six below recur. - Treating the notice period as a handover. Both sides are busy and the CFO is already looking ahead. Schedule the handover pack and name a reviewer who signs it off as complete. - Naming an “acting CFO” informally. The founder trusts the controller and wants speed. Without a board resolution and [DIR-12](https://treelife.in/legal/appointment-and-resignation-of-a-director/), the person is not the CFO in law, and a listed company breaches the proviso to Regulation 26A(2). Section 203(5) penalties run up to ₹5 lakh for the company, plus per-person penalties for officers in default. - Appointing a shared fractional CFO as statutory CFO of two unrelated companies. The engagement letter is signed before the KMP position is checked, and Section 203(3) means one appointment cannot stand beyond six months. - Starting the permanent search after the interim joins. The interim feels like the solution, so the statutory clock and the interim’s term run out together. Start in week one. - Telling the lender or lead investor last. The news feels bad, but information rights and change in management covenants can make late disclosure a breach, and the relationship cost exceeds the cost of an early call. - Promoting the controller by reflex. The controller is trusted and available, but promoting before you have reviewed the books locks in a person who may be covering gaps. Cover the seat with an interim, assess the controller over 30 to 60 days, then decide. ## Interim CFO after CFO resignation: putting the sequence together The order that works: secure authority in 48 hours, appoint the interim by board resolution within two weeks, run the handover during the notice period and start the permanent search in week one. An interim CFO after CFO resignation is only as good as the controls and paperwork around the appointment. ## FAQs on Interim CFO After CFO Resignation **Q: How is a departing CFO’s severance or notice pay taxed?**  A: As salary, with TDS under Section 392 of the Income-tax Act, 2025 (Section 192 of the 1961 Act before 01/04/2026). ESOPs are taxed as a salary perquisite at exercise (Section 17, Income-tax Act, 2025; Section 17(2)(vi) of the 1961 Act). See Treelife’s note on ESOP exercise after resignation. **Q: How much does an interim CFO cost in India?**  A: There is no published Indian benchmark, and we do not quote one. Cost depends on intensity, seniority, term and the route: a firm, an individual or a recruiter placement, where the recruiter’s margin is added to the rate. Treelife scopes the engagement against the close calendar, the audit position and any live transaction before quoting. **Q: How long does an interim CFO engagement last?**  A: Until the permanent CFO has joined and completed a short overlap. Set the term from the search plan, with a review at 30 days and an extension option. For a listed company, the three-month limit in Regulation 26A(2) puts pressure on the permanent hire. **Q: What is the usual CFO notice period in India?**  A: The employment contract sets it, and for senior roles it can run to two or three months. The statutory clock for filling the vacancy starts only on the last day in office. **Q: What documents are needed to appoint an interim CFO?**  A: A board resolution, an appointment letter, the candidate’s acceptance and KYC, proof of qualification and an entry in the register of directors and KMP. The company files Form DIR-12 within 30 days (Section 170(2), Rule 18 of the Companies (Appointment and Qualification of Directors) Rules, 2014). A public company also files the resolution in Form MGT-14 (Section 117(3)(g)); private companies are exempt under MCA notification G.S.R. 464(E) dated 05/06/2015. **Q: Does a CFO change affect FEMA and RBI filings?**  A: Yes. Form FC-GPR and Form FC-TRS are filed on the RBI FIRMS portal through the Single Master Form by the company’s registered Business User, via the authorised dealer bank. Update the Business User and authorised signatory, and list pending filings in the handover pack. FC-GPR is due within 30 days of allotment. The governing law is the Foreign Exchange Management Act (FEMA), 1999, the Non-debt Instruments Rules, 2019 and the RBI Master Direction on Reporting under FEMA (updated 30/03/2026). **Q: Can a co-founder or promoter step in as interim CFO?**  A: Yes for a company with no mandatory CFO, and we have found no bar for a mandatory one, but check the articles and the SHA. The weakness is independence: the person who runs the business then certifies the numbers, and investors and auditors usually object. **Q: Can an interim CFO sign the financial statements and lender certificates?**  A: Yes, once appointed CFO by board resolution (Section 134(1), Companies Act, 2013); an informal acting arrangement does not qualify. For lender certificates, agree in the engagement letter what the interim will not sign until the books are reviewed. **Q: Should the company announce the CFO’s exit publicly?**  A: Not until the interim is formally appointed and the search is staffed. Brief the board, investors, lenders and the team first. A listed company discloses under Regulation 30 and should not announce anywhere else before that filing. **Q: Can a fractional CFO cover an emergency exit?**  A: Rarely. A few days a month cannot carry a live audit, a lender certificate cycle and a board pack at once, and Section 203(3) may bar a shared CFO from the statutory office. Use a fractional or virtual team behind a dedicated interim, or as the interim where the company has no statutory CFO requirement. **Q: Does a DPIIT-recognised startup get any relaxation from the CFO vacancy rules?**  A: No. A DPIIT-recognised private company is outside Section 203 because it is private (G.S.R. 464(E) dated 05/06/2015), not because it is recognised. A recognised public company with paid-up capital of ₹10 crore or more must have a whole-time CFO under Rule 8 like any other. **Q: What happens if the company misses the deadline to fill the vacancy?**  A: Section 203(5) penalties apply: ₹5 lakh on the company, ₹50,000 on each director and KMP in default, plus ₹1,000 a day while the default continues, capped at ₹5 lakh. A listed company may also face stock exchange and SEBI action for breach of Regulation 26A. **Q: What will investors and buyers ask after a CFO resigns?**  A: Why the CFO left, who certified the latest numbers, whether a restatement or audit qualification is in prospect, who now signs the MIS, and how the interim and permanent hire are being handled. In diligence, expect a request for the handover pack and the judgement register. **Q: What if the CFO is also a director or an ESOP holder?**  A: A CFO who is also a director has a separate board exit under the director resignation process; see Treelife’s guide to appointment and resignation of a director for DIR-11 and DIR-12 mechanics. ESOP rights after resignation follow the plan rules and the grant letter, so read them before agreeing exit terms. **Q: Can the outgoing CFO stay on as a consultant?**  A: Yes, under a written consulting agreement with defined scope, with TDS on professional fees under Section 393 of the Income-tax Act, 2025 (Section 194J of the 1961 Act earlier). Keep it short and bounded, and keep the former CFO out of signing authority. ##### **Regulatory references** - Companies Act, 2013: Section 2(51) (key managerial personnel), Section 117(3)(g) (filing of board resolutions, Form MGT-14), Section 134(1) (signing of financial statements), Section 134(5)(e) and Section 143(3)(i) (internal financial controls), Section 188 (related party transactions), Section 168 (resignation of director), Section 170(2) (return of directors and KMP), Section 178 (Nomination and Remuneration Committee), Section 179(3) (powers of the Board), Section 203(1), (3), (4) and (5) (whole-time KMP, vacancy and penalty), Section 454 (adjudication of penalties) - Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014: Rule 8 (appointment of KMP) - Companies (Meetings of Board and its Powers) Rules, 2014: Rule 8 (matters decided by Board resolution at meetings, including appointment or removal of KMP) - Companies (Appointment and Qualification of Directors) Rules, 2014: Rule 15 and Rule 18 (resignation of director; Form DIR-12) - SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015: Regulation 17(8) with Part B of Schedule II; Regulation 26A(2); Regulation 30(6); Para A, item 7C of Part A of Schedule III; SEBI Master Circular dated 30/01/2026 (disclosure format) - Central Goods and Services Tax Act, 2017: Section 28; CGST Rules, 2017: Rule 19 (amendment of registration) - Income-tax Act, 2025: Section 17 (perquisite), Sections 392 and 393 (TDS on salary and non-salary payments, effective 01/04/2026); Income Tax Act, 1961: Sections 17(2)(vi), 192 and 194J (for periods before 01/04/2026) ### Related posts: - [What Is An Income Statement?](https://treelife.in/finance/what-is-an-income-statement/) - [The Rise & Fall Of Indian IPO’s](https://treelife.in/finance/the-rise-fall-of-indian-ipo/) - [Tyke’s CSOPs: Bridging Startups with Investors or Crossing Regulatory Boundaries?](https://treelife.in/finance/tykes-csops-bridging-startups-with-investors-or-crossing-regulatory-boundaries/) - [Revised Valuation Rules for Angel Tax](https://treelife.in/finance/revised-valuation-rules-for-angel-tax/) --- This is informational content from Treelife.
