Virtual CFO services scope in India varies more between proposals than any other professional retainer a startup signs. Two firms can quote for “VCFO services” and mean bookkeeping review in one case and board-level finance ownership in the other. The difference only shows up months later, usually during a fundraise or audit. This article sets out the six workstreams a full scope covers, how scope should change from seed to Series B, and how to write it into an engagement letter so proposals can be compared line by line.
What is the scope of virtual CFO services in India?
Virtual CFO services scope in India covers six workstreams: financial planning and analysis, MIS and board reporting, cash and treasury, compliance oversight, fundraise and transaction support, and controls and systems. The VCFO owns outcomes in each and supervises the accounting team that executes filings. Scope should be fixed by funding stage and written as dated deliverables, not as a list of activities.
The six workstreams in a full virtual CFO services scope
A full VCFO engagement covers six workstreams. Low-priced proposals often cover only the first two, which is why retainers carrying the same title can differ several times over in price. Read each proposal against this list before comparing fees.
Table 1: Virtual CFO services scope by workstream
| Workstream | What the VCFO owns | Typical deliverable | Frequency |
|---|---|---|---|
| Financial planning and analysis | Budget, rolling forecast, unit economics, runway | 12 to 18 month forecast, burn and runway tracker | Monthly refresh |
| MIS and board reporting | Variance analysis, KPI pack, investor updates | MIS within 10 to 15 working days of month end, quarterly board pack | Monthly and quarterly |
| Cash and treasury | 13-week cash flow, receivables and payables, surplus funds | Cash forecast, collections report | Weekly or fortnightly |
| Compliance oversight | Calendar and exception reporting across GST, TDS, MCA, FEMA | Compliance tracker signed off before each filing | Monthly |
| Fundraise and transactions | Model, data room, due diligence responses | Three-statement model, DD tracker | Per transaction |
| Controls and systems | Delegation of authority, approvals, software | DoA matrix, close calendar, process notes | Set up once, reviewed yearly |
How each workstream runs week to week is covered in our breakdown of what a virtual CFO actually does week to week. This article focuses on how much of each to buy, and when.
Where virtual CFO scope ends: accountant, auditor and CFO title
The VCFO reviews and owns decisions; the accountant executes; the statutory auditor stays independent. Scope should name the boundary on each side, because the two gaps founders hit most often are filings nobody reconciles and an auditor who also prepared the books.
Three boundaries belong in every engagement letter:
- Accountant handoff: who books, who files GSTR-3B and TDS statements, and who signs off the reconciliation before filing. See virtual CFO accounting and GST filing handoffs and the VCFO and accountant role split.
- Auditor independence: Section 144 of the Companies Act 2013 bars the statutory auditor from providing accounting, management or outsourced financial services to the company it audits. The VCFO coordinates the audit but cannot be the auditor’s firm. Detail is in our note on VCFO audit coordination.
- CFO title: under Section 203 read with Rule 8 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules 2014, listed companies and public companies with paid-up capital of ₹10 crore or more need a whole-time CFO. A private limited company has no such mandate, so a VCFO can lead finance there.

How should virtual CFO services scope change by funding stage?
Scope should follow the decisions the company faces in the next 12 months. A pre-seed company needs clean books and a runway number it trusts. A Series B company needs investor-grade reporting, audit management and often a multi-entity group. Buying Series B scope at seed wastes cash; buying seed scope at Series A delays the round.
Table 2: Virtual CFO services scope by stage
| Stage | Primary finance problem | Workstreams to prioritise | Indicative senior time |
|---|---|---|---|
| Pre-seed and seed | No visibility on burn | Controls and systems, FP&A (runway only), compliance oversight | 2 to 4 days a month |
| Seed to Series A | First institutional raise | FP&A (full model), fundraise support, compliance clean-up | 4 to 6 days a month |
| Series A to B | Investor reporting and covenants | MIS and board reporting, cash and treasury, audit management | 6 to 10 days a month |
| Series B and later | Group structure, pre-IPO readiness | Consolidation, transfer pricing, Ind AS readiness, CFO transition plan | 10 or more days a month, or a full-time hire |
Senior time figures are Treelife estimates from live engagements, not a market standard.
Seed stage: what is the minimum viable scope?
At seed, the minimum scope is a chart of accounts built for investor reporting, a monthly close calendar, a runway model refreshed monthly, and a compliance tracker covering GST, TDS and MCA dates. DPIIT recognition and startup tax eligibility should be reviewed once. Anything beyond this is usually premature until the first institutional round is in sight.
Series A and beyond: what gets added?
Series A adds the three-statement model, data room ownership and post-close investor reporting under the shareholders’ agreement. The pre-round sequence is set out in how a virtual CFO gets your startup Series A ready. From Series B, scope adds group consolidation and an Ind AS trigger watch: under the Companies (Indian Accounting Standards) Rules 2015, unlisted companies move to Ind AS once net worth reaches ₹250 crore, and comparatives must be restated.
Writing virtual CFO scope into the engagement letter
An engagement letter should state deliverables, dates and senior time, not activities. “Financial reporting support” cannot be enforced; “MIS pack in the board-approved format by the 12th working day” can. This is the section that makes two proposals comparable.
Ask every provider to complete the same grid:
- Named deliverables per workstream, with due dates.
- Senior hours per month, and the named senior person.
- What is excluded and priced separately (bookkeeping, payroll processing, filings).
- Transaction support terms: included, capped in hours, or billed per raise.
- Response time for investor, auditor and regulator queries.
- Exit terms: handover of models, files, software admin access and logins.
Two tax lines belong in the budget for the retainer. GST applies to VCFO fees as a professional service, generally at 18% (rate and SAC to be confirmed against the current CBIC notification). The company must also deduct TDS at 10% on professional fees above ₹50,000 in a tax year under Section 393(1) of the Income-tax Act 2025, which replaced Section 194J of the Income-tax Act 1961 from 01/04/2026. Payroll and TDS mechanics sit in our guide to VCFO payroll and TDS compliance.

Common scoping mistakes that cost founders time and money
- Signing an activity list, not deliverables. It happens because proposals are written that way. Without dates, nothing is late. Convert every line into a dated output before signing.
- Leaving fundraise support undefined. Founders assume it is in the retainer; the provider assumes it is billed separately. The dispute surfaces mid due diligence. Fix the terms upfront.
- Buying the same scope for three years. A seed scope at Series A leaves investor reporting unowned. Review scope at every round close.
- No exit clause on data and models. When a VCFO relationship ends, founders lose model logic and software admin rights. Make handover a contractual deliverable.
- Ignoring the CFO title trigger. Conversion to a public company with ₹10 crore or more paid-up capital makes a whole-time CFO mandatory under Section 203. Plan the transition six months ahead; see interim CFO cover and handover.
Treelife practitioner note
In the virtual CFO engagements we have run at Treelife, the scope that fails is rarely too small at signing. It fails because it stays frozen while the company moves two stages. A typical pattern: a seed engagement written around bookkeeping review and a runway model is still running unchanged 18 months later, after a Series A that added information rights, quarterly MIS obligations and a board observer. Nobody owns the shareholders’ agreement reporting calendar, and the first missed quarterly update becomes a consent-rights conversation with the lead investor.
The fix is mechanical. Tie a scope review to every round close and every change in entity count. On review, map each information right and covenant in the shareholders’ agreement to a named VCFO deliverable with a date. Do the same for regulatory triggers that move with size: the internal audit threshold under Section 138 read with Rule 13 of the Companies (Accounts) Rules 2014 (₹200 crore turnover or ₹100 crore borrowings for a private company), and the Ind AS net worth threshold.
The second pattern is scope that stops at the Indian entity. Where a foreign holding company or subsidiary exists, consolidation, transfer pricing documentation and FEMA reporting fall between the VCFO and the overseas accountant unless the letter assigns them.

Frequently asked questions
Q: Is GST charged on virtual CFO fees?
A: Yes, generally at 18% as a professional service under the CGST Act 2017. The company can usually claim input tax credit if its outward supplies are taxable. Confirm the rate against the current CBIC notification for the SAC on the invoice.
Q: What TDS applies to virtual CFO fees?
A: 10% on professional fees above ₹50,000 in a tax year under Section 393(1) of the Income-tax Act 2025, effective 01/04/2026. Amounts credited up to 31/03/2026 stay under Section 194J of the 1961 Act.
Q: How long does a virtual CFO engagement take to set up?
A: Usually two to four weeks. The first month covers access to books, banks and software, a review of past filings and agreement on the MIS format. Regular reporting normally starts from the second month close.
Q: How often should virtual CFO scope be reviewed?
A: At every round close, entity addition or major covenant change, and at least once a year. Each review should map new obligations to dated deliverables.
Q: What documents does a virtual CFO need to scope the engagement?
A: The last two years’ audited financials, GST and TDS returns, the cap table, the shareholders’ agreement and board minutes. FEMA filings are also needed where there are foreign shareholders.
Q: Should FEMA reporting be in virtual CFO scope?
A: The calendar and data should be, while filings go through the AD bank. Form FC-GPR is due within 30 days of allotment to a non-resident, and the FLA return annually, under the RBI Master Direction on Reporting under FEMA.
Q: What extra scope does a foreign-owned Indian subsidiary need?
A: Group reporting in the parent’s format, transfer pricing documentation and withholding tax review on cross-border payments to the parent. These must be assigned in writing between the VCFO and the overseas finance team.
Q: How should co-founders and the VCFO split finance responsibilities?
A: A co-founder usually owns approvals and banking; the VCFO owns reporting, forecasting and compliance oversight. A board-approved delegation of authority matrix records the split.
Q: Does DPIIT recognition change virtual CFO scope?
A: It adds an eligibility review for startup tax benefits, which are subject to inter-ministerial board approval and conditions under the Income-tax Act 2025. Review before the company’s first profitable year.
Q: What if a fundraise falls through after the VCFO has built the data room?
A: The model, data room and reconciliations carry to the next investor. Whether that work is billed again depends on the transaction support terms in the engagement letter.
Q: What reporting do investors expect inside VCFO scope after a round?
A: Monthly or quarterly MIS in the format the SHA specifies, covenant tracking and timely information rights reporting. Missed reporting can trigger investor consent rights.
Q: Can a virtual CFO be the company’s KMP CFO?
A: Only where a whole-time CFO is not mandatory. Listed companies and public companies with ₹10 crore or more paid-up capital need one under Section 203 and Rule 8.
Q: Can the statutory auditor’s firm provide VCFO services?
A: No. Section 144 of the Companies Act 2013 bars it for the audited company and its holding and subsidiary companies.
Q: Does VCFO scope cover NRI founders?
A: It can, covering residential status, remuneration or dividend structuring from the Indian company, and FEMA treatment of their shareholding. Add it as a named line item.
